2. Establishing the Board Structure:

- Defining the composition of the board, specifying the number of members, their qualifications, skills, and specific roles.

- Developing a process for selecting and nominating members, including criteria for diversity, expertise, and experience.

3. Developing the Board Charter:

- Drafting a charter or bylaws that details the responsibilities, powers, and functioning of the board.

- Include in the charter meeting frequencies, decision-making procedures, and reporting requirements.

4. Board Member Selection:

- Identify and approach potential candidates to join the board, taking into account the necessary skills and experience.

- Establish a process for vetting and confirming selected members.

5. Meeting Planning:

- Set a schedule of regular board meetings (e.g., quarterly or biannually), taking into account strategic periods for the organization.

- Prepare an agenda for each meeting, in collaboration with board members and the organization's management.

6. Establish management materials and tools:

- Ensure the availability of necessary meeting materials and tools, such as minutes, videoconferencing tools, and document sharing platforms.

- Designate a person or team responsible for coordinating meetings and communicating with board members.

7. Monitoring of decisions and actions:

- Document the decisions taken at meetings and ensure that the actions decided are followed up and implemented.

- Establish a monitoring mechanism to evaluate the effectiveness of the board and the impact of its decisions on the organization.

8. Evaluation and adjustment:

- Periodically carry out an evaluation of the functioning of the board, including the participation of members, the relevance of discussions, and the impact of decisions.

- Adjust the composition, procedures, or frequency of meetings based on the results of the evaluation to continually improve governance.
